When you’re going through the process of an aviation transaction, thorough due diligence is critically important to identify and investigate areas of risk. What seems like a routine transaction, if you’re not paying attention to the details, might end up becoming a costly or punitive mistake.  

In this webinar, NAFA member experts from Aero Law Group, Bombardier, and Jaffa & Co discuss the major regulatory agencies you need to know about, what they oversee, and dive into real-life examples of times a deal went badly and what the repercussions were for violating those regulations.

Meet our Moderator:

Nate Pietila - Attorney, Aero Law Group

Nate Pietila has been with Aero Law Group PC since 2005. He represents clients in the purchase, sale, lease, financing and exchange of business aircraft. Focusing on end-user owners and operators, Nate advises his clients on FAA-regulatory, federal income tax, federal excise tax, state sales and use tax, personal use, insurance and risk-management issues.

Prior to joining the firm, Nate was an associate attorney at Gibson, Dunn & Crutcher LLP in Orange County, California, for four years, where he practiced in the Corporate Transactions and Bankruptcy and Financial Restructuring practice groups. He represented companies from the biotechnology, chemical, electronics manufacturing and retail sectors in various restructuring matters. He also represented clients in connection with federal securities matters, mergers and acquisitions, and secured financings.

Nate earned his law degree from the University of Virginia School of Law in 2000. He graduated summa cum laude with a B.A. in Philosophy and a minor in Management Science from the University of California, San Diego, in 1997.

Nate is admitted to practice law in both California and Washington. He is also an FAA-certificated commercial pilot, with instrument, single-engine and multi-engine ratings.

Nate enjoys traveling to business-aviation events around the world (NBAA-BACE, EBACE, JetNetIQ, Corporate Jet Investor, etc.). He and his family also enjoy spending time in the Upper Peninsula of Michigan, where he spent many summers growing up.

Matt Potts - Partner, Jaffa & Co. 

Matt is a highly experienced attorney who has been able to turn his passion into a successful legal career.  For 15 years he worked in house with some of the world’s largest aviation operators and most prestigious brokerage houses, before joining Jaffa & Co to advise on superyacht and aviation transactions.  Matt has an enviable track record and clients benefit from his wealth of contacts across the US, Europe and beyond.

Matt has handled hundreds of transactions covering cross-border purchases and sales, commercial agreements, management, charter, and leasing.

While Matt lives outside London, he splits his time between the UK and US and will be spearheading Jaffa & Co’s expansion there.

 

David Bonvarlet, Director of Ethics & Compliance, Bombardier

David has been with Bombardier since 2015. He is currently Director, Ethics & Compliance and focuses on due diligence, export controls and sanctions. He previously worked as in-house legal counsel, mainly supporting Bombardier’s aftermarket business activities including the expansion of Bombardier’s worldwide support network. 

Prior to joining Bombardier, David spent several years in a large law firm in France where he advised clients on M&A transactions and corporate reorganizations. He also worked for the Scottish Law Commission in the United Kingdom for two years.

David is based in Montreal, Canada and is a member of the Québec bar.

 

Dave Vandenberg - Senior Director Structured Finance, Bombardier Business Aircraft

David Vandenberg leads the Structured Finance team with overall responsibility for maintaining and managing a global network of third party banks, lessors, and brokers that finance the acquisition of Challenger and Global business aircraft by Bombardier customers worldwide.  The team also works on special projects pertaining to residual values and innovative structured finance solutions. 

Prior to joining Bombardier Business Aircraft in 2006, he was Director of Structured Finance with Bombardier Commercial Aircraft.

 

Jeff Towers - Vice President & General Counsel at TVPX

Jeff has served as General Counsel for TVPX since 2004. The TVPX companies provide the aviation industry with FAA owner trust and U.S. customs brokerage services. Jeff is the past Chairman of the National Business Aviation Association (NBAA) Tax Committee and is an active member of various other aircraft related organizations in the U.S. and Europe. Jeff has given presentations on aircraft tax, registration and related issues to major manufacturers and lenders, and at various aircraft conferences including NBAA, HAI and Corporate Jet Investor.
